The contract between us.
These Terms govern your use of Felarity. By creating an account or using the service you agree to them.

1. Definitions
- "Felarity", "we", "us": the operator of the service at
felarity.comand related domains. - "You", "Customer": the individual or legal entity using the service.
- "Service": the Felarity application, APIs, and supporting documentation.
- "Content": anything you submit to the Service — audio, transcripts, files, prompts, notes, reports.
- "Workspace": a tenant container holding members, settings, and Content.
2. Account
You must be 16 or older, provide accurate information, and keep your credentials secure. You are responsible for activity on your account. Notify us immediately of any unauthorized access.
3. Subscription, billing, and refunds
Paid plans are billed monthly or annually in advance through Stripe. Tax may be added based on your jurisdiction. Cancellations stop the next renewal; access continues until the end of the paid period. We offer a 14-day prorated refund on first subscription purchases if the service does not meet your needs — email billing@felarity.com.
We may change pricing for future renewals with 30 days' notice. We will not retroactively change pricing for a period you have already paid for.
4. Your Content
You own your Content. You grant us a non-exclusive license to host, process, transmit, and display it solely to deliver the Service to you and to comply with law. We do not use your Content to train shared models. See the Privacy Policy for details.
You represent that you have the right to upload the Content, that recording the conversations it contains complies with applicable law in your jurisdiction (some states/countries are two-party-consent), and that the Content does not violate any third party's rights.
5. Acceptable use
The Acceptable Use Policy is part of these Terms. In short: don't use Felarity for unlawful surveillance, to harass, to attempt to break the system, to extract our models, or to process material you have no right to process.
6. Service availability
We aim for 99.9% monthly uptime measured against our public status page. Enterprise customers receive a contractual SLA in the MSA. We schedule maintenance windows where possible and announce them in advance.
7. Security and compliance
We maintain administrative, technical, and physical safeguards described in the Security overview. We will notify you of a security incident affecting your Content without undue delay and in any event within 72 hours of confirmation.
8. Confidentiality
Each party agrees to keep the other's confidential information confidential and to use it only for the purposes of this agreement. Customer Content is your confidential information.
9. Intellectual property
The Service, including its underlying software, models, prompts, and documentation, is our intellectual property. No license to that IP is granted other than the right to use the Service per these Terms. Feedback you give us may be used without restriction.
10. AI outputs — what they are and aren't
Felarity uses AI to surface contradictions, classify confrontations, score acoustic credibility, and generate intelligence reports. These outputs are decision-support, not professional advice. They do not constitute legal, medical, financial, or other professional advice. You are responsible for human review before acting on any output, especially in matters that affect people's rights, health, or finances.
The cryptographic attestation chain we generate is a chain-of-custody artifact for the analysis pipeline. Its admissibility in a specific legal proceeding depends on the court, jurisdiction, and case-specific facts — we make no warranty about admissibility in your matter.
11. Warranty disclaimer
Except as expressly stated, the Service is provided "as is" without warranties of any kind, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or produce specific results.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenue, or data. Each party's total liability arising out of or relating to these Terms is limited to the fees paid to Felarity in the 12 months preceding the claim.
This does not limit liability for: (a) breach of confidentiality, (b) infringement of the other party's IP, (c) liability that cannot be excluded under applicable law, or (d) gross negligence or willful misconduct.
13. Indemnification
Each party will defend the other against third-party claims alleging that the indemnifying party's IP, Content, or conduct (as applicable) infringes a third party's rights or violates law, and pay any resulting damages, subject to standard procedural requirements.
14. Termination
You may close your account at any time from Settings → Data → Delete account. We may suspend or terminate accounts that violate these Terms or the AUP, or for non-payment. On termination, you can export your data for 30 days; after that, we hard-delete it.
15. Changes to these Terms
We may update these Terms. Material changes will be announced in-product and by email at least 14 days before they take effect. Continued use after that date is acceptance.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, unless an enterprise MSA specifies otherwise. Nothing here waives statutory consumer protections that apply to you.
